Webflow Terms of Service Agreement

These Terms of Service (“Agreement”) govern the use of the CookieScript  Webflow App (the “App”), provided by:

(“CookieScript”, “we”, “us”, or “our”)

By installing, accessing, or using the App through the Webflow Marketplace, you (“Customer”, “you”) agree to be bound by these Terms of Service and our Privacy Policy.

If you are installing or using the App on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement.

1. Subject Matter

This Agreement regulates all relations between CookieScript and the Customer regarding the use of the Webflow App that integrates CookieScript’s Consent Management Platform (CMP) into websites built on Webflow.

The App enables the automatic injection and management of a consent script on your Webflow website(s) in order to:

  • Display Cookie Consent banners (“Pop-up”)
  • Collect and store user consent signals
  • Enable or configure consent mode functionality
  • Manage scripts and cookies based on visitor consent
  • Assist in compliance with privacy regulations such as the EU General Data Protection Regulation (GDPR) and the eprivacy Directive

We reserve the right to modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the updated Terms.

2. Description of the Services

2.1 Nature of the App

The App is a Webflow integration that:

  • Connects your Webflow account with CookieScript services
  • Injects and manages JavaScript code on your Webflow site front-end
  • Allows configuration of consent banners and consent mode
  • Communicates with the CookieScript cloud infrastructure

The App operates as a technical integration tool only.

2.2 Role of CookieScript

CookieScript acts as:

You remain solely responsible for:

  • Your website’s legal compliance
  • The content of your Privacy Policy and Cookie Policy
  • Proper configuration of the App
  • Determining the lawful basis for data processing
  • Ensuring correct consent implementation for tools such as Google Consent Mode

Use of the App does not automatically make your website compliant with GDPR, eprivacy Directive, UK GDPR, CCPA, or any other law.

3. Webflow Platform Disclaimer

The App operates within the Webflow ecosystem.

  • Webflow is a third-party platform.
  • We are not affiliated with, endorsed by, or controlled by Webflow unless explicitly stated.
  • Your use of Webflow is governed by Webflow’s own terms and policies.
  • We are not responsible for Webflow platform outages, API limitations, technical restrictions, or changes that may impact App functionality.

If Webflow modifies its API, permissions, or technical capabilities, certain App features may be limited or discontinued without liability.

4. Account Authorization & Permissions

By installing the App, you authorize CookieScript to:

  • Access the necessary Webflow site data via Webflow APIs
  • Inject and manage front-end scripts
  • Store configuration settings related to your site(s)
  • Maintain communication between your Webflow site and CookieScript servers

You represent that:

  • You have full administrative rights to the Webflow site(s)
  • You are authorized to grant such permissions

We will only access data necessary for App functionality, as described in our Privacy Policy.

5. Membership Subscriptions

5.1 General

Certain App features require a paid subscription.

By purchasing a paid subscription, you agree that:

  • Functionality and limitations are defined on the Pricing page.
  • Prices may change at any time.
  • Subscription plans are tied to a specific Webflow account and/or domain(s).
  • Account sharing is strictly prohibited.

5.2 Free Plan

Free plan users:

  • May have limited banner customization.
  • May not remove required branding elements (if applicable).
  • May not modify hosted scripts unless explicitly permitted.
  • May register only one free account per legal entity.

Violation may result in account suspension.

5.3 Paid Plans

Paid subscribers may:

  • Access advanced consent mode features.
  • Customize banner behavior and appearance.
  • Self-host scripts (if included in plan).
  • Access premium support.

Features included at the time of purchase remain active during the billing period. Updated pricing or limitations may apply upon renewal.

6. Payments & Billing

Payments are processed via third-party processors such as Stripe or PayPal.

We do not store full credit card information.

Automatic recurring billing applies unless canceled prior to renewal.

VAT and applicable taxes are calculated in accordance with:

  • EU VAT Directive 2006/112/EC
  • Lithuanian VAT law
  • UK VAT law (where applicable)

VAT rules:

  • Lithuanian customers: 21% VAT
  • EU customers without valid VAT ID: VAT applied
  • UK customers: UK VAT applied
  • EU companies with valid VAT ID (excluding Lithuania): reverse charge (0%)
  • Non-EU customers: 0% VAT

A VAT invoice will be issued after payment.

7. Legal Compliance Disclaimer

CookieScript provides technical tools only.

We do not:

  • Provide legal advice
  • Guarantee regulatory compliance
  • Act as your legal representative
  • Guarantee acceptance by supervisory authorities

You are solely responsible for:

  • Implementing proper consent mechanisms
  • Drafting legally compliant policies
  • Determining applicable law
  • Configuring consent mode correctly

CookieScript is not responsible for:

  • Regulatory fines
  • Legal claims
  • Investigations by data protection authorities

8. Warranty Disclaimer

The App and Services are provided “as is” and “as available”.

We make no warranties regarding:

  • Continuous availability
  • Compatibility with all Webflow features
  • Error-free performance
  • Uninterrupted uptime

We aim for 99.9% uptime but do not guarantee it.

We are not responsible for incompatibility caused by:

  • Third-party scripts
  • Custom Webflow code
  • External integrations
  • Changes in browser behavior
  • Ad blockers or tracking protection tools

9. Limitation of Liability

To the maximum extent permitted by law:

CookieScript’s total liability shall not exceed the amount paid by you for the Services during the 12 months preceding the claim.

We shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Loss of profits
  • Loss of business
  • Data loss
  • Reputational damage
  • Regulatory penalties

10. Acceptable Use

You may not use the App:

  • On websites containing illegal content
  • On adult or gambling sites (unless permitted by law and approved)
  • To collect consent fraudulently
  • To mislead users about tracking practices
  • To bypass privacy regulations

We reserve the right to suspend accounts violating this section.

11. Support

All users may contact support via email or dashboard.

Response time may take up to 72 hours.

We may limit or refuse support in cases of:

  • Abusive behavior
  • Repeated misuse
    Failure to cooperate during troubleshooting

12. Refund Policy

We offer a 7-day money-back guarantee for paid subscriptions.

To request a refund:

  1. Contact support.
  2. Provide reason.
  3. Allow opportunity to resolve technical issue.

If unresolved and issue is attributable to CookieScript, a refund may be issued (excluding transaction fees).

Refunds result in account termination.

13. Termination

We may suspend or terminate access:

  • For breach of these Terms
  • For misuse of the App
  • For legal compliance reasons

We may discontinue the App at any time without liability.

14. Intellectual Property

All intellectual property rights in:

  • The App
  • Scripts
  • Dashboard
  • Documentation
  • Design
  • Backend systems

remain the property of CookieScript.

You may not:

  • Reverse engineer the App
  • Resell the App
  • Create derivative services
  • Copy or redistribute source code (unless permitted under your plan)

15. Governing Law

This Agreement shall be governed by the laws of the Republic of Lithuania.

Disputes shall be resolved in Lithuanian courts unless otherwise required by applicable consumer protection laws.
